Terms & Commission Agreement
These Terms & Commission Agreement (“Agreement”) govern participation in the
Antara Pathways, Inc. affiliate/referral program (“Program”).
By submitting the Affiliate Application or accepting a referred client, the business or organization named in the application
(“Affiliate”) agrees to the terms below.
Quick Summary (Not a substitute for full terms)
- Commission: 10% of the gross invoice amount for services provided to Antara-referred clients.
- Due Date: Payable within 30 days of your receipt of client payment.
- Exclusions: True pro bono or sliding-scale charity care at/under cost is commission-exempt (documentation required).
- Ethics: Trauma-informed, culturally humble, non-discriminatory practice is required.
- Listing: Inclusion and ongoing participation are at Antara’s discretion.
1) Purpose
Antara Pathways, Inc. (“Antara”) develops a coordinated network of care partners to ensure equitable access to
end-of-life, grief, and wrap-around supports. The Program enables responsible referrals, transparent expectations, and mission-aligned funding.
2) Eligibility & Participation
- Affiliate affirms it is duly licensed/certified where required and operates lawfully and ethically.
- Affiliate will notify Antara of material changes (services, pricing, contact info, licensure, insurance, ownership).
- Antara may approve/decline or remove a listing at its sole discretion to protect client safety and mission alignment.
3) Nature of Relationship
The parties are independent entities. This Agreement does not create a partnership, joint venture, employment, or agency relationship.
Affiliate may not represent it can contract on behalf of Antara.
4) What Counts as an Antara Referral
A client is an “Antara-referred client” if any of the following occur: (a) Antara staff make a direct introduction
(email/phone/message) to Affiliate; (b) the client reaches Affiliate via Antara’s website listing, directory, or referral message; or
(c) the client explicitly identifies Antara as the source of referral. Affiliates should document the source at intake.
5) Commission & Payment
- Rate: 10% of the gross invoice amount charged by Affiliate to the Antara-referred client.
- When due: Within 30 calendar days after Affiliate receives payment from the client.
- How to remit: Remit electronically or by check as directed by Antara; include client initials, invoice number, service dates, and amounts.
- Ongoing services: Commission applies to all paid services rendered to the Antara-referred client for 12 months from the initial service date.
6) Equity Exceptions (Sliding-Scale / Charity Care)
To support equitable access, Antara does not require commission on:
- True pro bono work (no client fees charged), or
- At/under-cost charity care (documented cost basis; no net revenue).
For reduced-fee/discounted services that remain revenue-positive, commission applies to the actual amount paid by the client.
Affiliates agree to maintain basic documentation for audit upon reasonable request (not client PHI; de-identified is preferred).
7) Reporting
Upon request, Affiliate will provide a simple monthly/quarterly statement of Antara-referred clients served, invoice totals, payments received, and
commissions remitted. De-identify data when possible.
8) Code of Conduct & Non-Discrimination
- Trauma-informed, culturally humble, and client-centered practice is required.
- No discrimination on the basis of race, color, religion, gender, gender identity or expression, sexual orientation, national origin,
immigration status, age, disability, veteran status, or any protected class. - Reasonable accessibility accommodations (e.g., ASL/interpreters, sensory-aware options, mobility access) should be offered
or arranged with community partners where feasible.
9) Privacy & Confidentiality
Parties will protect client privacy and comply with applicable privacy laws (e.g., HIPAA where applicable). Share only the minimum necessary data to coordinate care.
10) Use of Names & Logos
Each party may use the other’s name/logo solely to denote participation or provide referral information, subject to brand guidelines and any written restrictions.
No endorsement is implied unless expressly stated by Antara in writing.
11) Listing Approval, Updates & Removal
Antara curates its public listings to protect clients and mission integrity. Antara may pause, edit, or remove an Affiliate listing at any time in its sole discretion.

12) Insurance & Compliance
Affiliates offering professional services agree to maintain appropriate licensure and liability insurance where applicable and to comply with all governing policies and laws.
13) Indemnification
Affiliate shall indemnify and hold harmless Antara and its officers, directors, staff, and volunteers from claims, damages, or liabilities arising from Affiliate’s services, omissions, or misconduct.
14) Limitation of Liability
To the maximum extent permitted by law, Antara is not liable for indirect, incidental, special, consequential, or punitive damages, nor for Affiliate’s service outcomes.
15) Term & Termination
- This Agreement begins when Affiliate applies or accepts a referred client and continues until terminated by either party upon written notice.
- Obligations for commissions already earned survive termination.
16) Disputes; Governing Law
Parties agree to attempt good-faith resolution. Failing that, disputes shall be governed by the laws of the State of Arizona and brought in an appropriate state court located in Maricopa County, Arizona.
17) Changes to this Agreement
Antara may update these terms from time to time. Material changes will be posted on this page with a revised “Last Updated” date.
Continued participation after updates constitutes acceptance of the revised terms.

Acceptance: By submitting the Affiliate Application or accepting an Antara-referred client, Affiliate acknowledges that it has read, understands, and agrees to be bound by this Agreement.
